Many lawyers, especially those dealing with commercial matters, need to understand accounting yet feel on shaky ground in the area. This book is written specifically for them. It breaks down and makes clear basic concepts (such as the difference between profit and cash flow), the accounting profession and the legal and regulatory framework within which accounting operates. The relevant provisions of the Companies Act 1985 are discussed at some length. Holgate explains generally accepted accounting principles in the UK (GAAP), the trend towards global harmonisation and the role of international accounting standards. He then deals with specific areas such as group accounts, acquisitions, tax, leases, pensions, financial instruments, and realised profits, focusing in each case on those aspects that are likely to confront lawyers in their work. This book will appeal to the general practitioner as well as to lawyers working in corporate, commercial, and tax law. [less]

Despite his fame, there is still widespread ignorance about the breadth of Adam Smith's contributions to economics, politics and philosophy. In Adam Smith: A Primer, Eamonn Butler provides an authoritative introduction to the life and work of this founder of economics. The author examines not only The Wealth of Nations, with its insights on trade and the division of labor, but also Smith's less well-known works, such as The Theory of Moral Sentiments, his lectures, and his writings on the history of science. Butler therefore provides a comprehensive, but concise, overview of Adam Smith's intellectual achievements. While earlier writers may have studied economic matters, it is clear that the scope of Smith's enquiries was remarkable. In relating economic progress to human nature and institutional evolution he provided a completely new understanding of how human society works, and was very much a precursor of later writers such as Hayek and Popper. Indeed, with poor governance, protectionism and social engineering still commonplace, Smith's arguments are still highly relevant to policymakers today. [less]

This book examines administrative law in Asia, exploring the profound changes in the legal regimes of many Asian states that have taken place in recent years. Political democratization in some countries, economic change more broadly and the forces of globalization have put pressure on the developmental state model, wherein bureaucrats governed in a kind of managed capitalism and public-private partnerships were central. In their stead, a more market-oriented regulatory state model seems to be emerging in many jurisdictions, with emphases on transparency, publicity, and constrained discretion. This book analyses the causes and consequences of this shift from a socio-legal perspective, showing clearly how decisions about the scope of administrative law and judicial review have an important effect on the shape and style of government regulation. Taking a comparative approach, individual chapters trace the key developments in the legal regimes of major states across Asia, including China, Japan, Korea, Malaysia, Taiwan, Hong Kong, Indonesia, Singapore, the Philippines, Thailand and Vietnam. They demonstrate that, in many cases, Asian states have shifted away from traditional systems in which judges were limited in terms of their influence over social and economic policy, towards regulatory models of the state involving a greater role for judges and law-like processes. The book also considers whether judiciaries are capable of performing the tasks they are being given, and assesses the profound consequences the judicialization of governance is starting to have on state policy-making in Asia. Dr. Azly Rahman is one of Malaysia’s intellectual hopes for the future. Although he currently resides in the United States his heart and mind is still very much in Malaysia, as this volume testifies to. In this collection, he is able to delve deeply into Malaysian consciousness and skilfully peel away each cultural layer to uncover the Malaysian psyche in a way never understood before, exposing our accepted national narratives for what they really are. A true patriot with hope and optimism about the future, Dr. Azly offers a framework for looking at some of the most pressing problems facing Malaysian society today. This volume will help every Malaysian think about what kind of Malaysia they all want for their children. — Murray Hunter — International Advisor to The 4th Media, Beijing, China International Advisor to Diplomatic Insight, Islamabad, Pakistan Associate Professor University Malaysia Perlis “From faraway in the USA Azly Rahman has made close observations on many issues besetting his beloved homeland. This book is very timely. It deals with current issues, some of which may be relevant to the thirteenth general elections. There are articles on the controversy over the 'Allah issue,' and there are also discussions on other topics that are hotly debated as we approach Malaysia’s most intense elections. Azly is a very versatile writer as evident in this collection and is academically qualified to analyse the various subjects he has dwelt on. His writings are sometimes very challenging to read, but they are compensated by his depth of analysis. This volume is a must-read for those wishing to understand our society at a more complex level.” — Syed Husin Ali — [less]

Is globalization good for democracy? Or has it made our governing institutions less accountable to citizens? Located at the intersection of international relations and comparative politics, this book explores the effects of globalization on national governance. Under what circumstances do the transnational forces that embody globalization encourage or discourage political accountability? Among the transnational forces discussed in the book are the International Monetary Fund, the World Bank, multinational corporations, the United Nations, private military contractors, peacekeepers, the European Court of Human Rights, and several transnational social movements. Using in-depth case studies of situations in which these transnational institutions interact with national governments and citizens, Valerie Sperling traces the impact of economic, political, military, judicial, and civic globalization on state accountability and investigates the degree to which transnational institutions are themselves responsible to the people whose lives they alter. In this groundbreaking book, sociologist Andrew Perrin shows that rules and institutions, while important, are not the core of democracy. In this groundbreaking book, sociologist Andrew Perrin shows that rules and institutions, while important, are not the core of democracy. Instead, as Alexis de Tocqueville showed in the early years of the American republic, democracy is first and foremost a matter of culture: the shared ideas, practices, and technologies that help individuals combine into publics and achieve representation. Reinterpreting democracy as culture reveals the ways the media, public opinion polling, and changing technologies shape democracy and citizenship. As Perrin shows, the founders of the United States produced a social, cultural, and legal environment fertile for democratic development and in the two centuries since, citizens and publics use that environment and shared culture to re-imagine and extend that democracy. American Democracy provides a fresh, innovative approach to democracy that will change the way readers understand their roles as citizens and participants. Never will you enter a voting booth or answer a poll again without realizing what a truly social act it is. This will be necessary reading for scholars, students, and the public seeking to understand the challenges and opportunities for democratic citizenship from Toqueville to town halls to Twitter. This text traces the contours of US doctrinal developments concerning international commercial arbitration. It explores international commercial arbitration as a bridge that creates symmetry between what the author perceives as an anomaly arising from the disparities between the monolithic framework arising from economic globalization and a fragmented global judicial counterpart. Specifically, American common law discovery precepts are analyzed through the prism of the fundamental precepts of party-autonomy, predictability, uniformity, and transparency of spender, which the author contends to be the rudimentary tenets of both the American common law procedural rubric and the very principles that international commercial arbitration seeks not only to preserve but to enhance. Therefore, as the author asserts, the discovery process endemic to American common law comports more closely with international commercial arbitration both procedurally and theoretically than with those of the 'taking of evidence' methodology commonly used in international commercial arbitrations held under the auspices of arbitral institutional bodies. Malaysia is at a crossroads. Her discourse has never been so vibrant or so mature. Her people have never been more politically aware or involved. It is with this in mind that Zaid Ibrahim wades deep into uncharted waters and takes on the delicate subject matter that is the Malay Ruler and the role he plays in the formation of a constitutional government in Malaysia. In this brand new book, Zaid Ibrahim considers the unique nature of the Malaysian monarchic system and provides both a history and context to its being. He ponders on the purpose of such an institution in a modern democracy and tries to identify the characteristics that would make an ideal and relevant 21st-century monarch. He confronts what is probably the most pressing question of all: If long-running tensions between the monarchy and the political establishment are not resolved, what will the ramifications be if the next General Election demands a transfer of power to the Opposition? He asks this and more without ever straying from the conviction that the Malay Ruler still has a crucial role to play in today s society. These meditations are a must-read for all those invested in the future of Malaysia. [less]
